What We Do

Legal support for financial transactions

Transaction structure design

  • When foreigners participate in various financial transactions in Beijing, such as cross-border investment, financial derivatives trading, asset securitization, design transaction structures that are legally compliant, commercially viable, and aligned with client objectives. For example, in a cross-border merger and acquisition, consider multiple legal factors including foreign exchange control, taxation, and antitrust regulations to develop a reasonable transaction framework that minimizes risks and costs.

Contract drafting and revie

  • We draft, review, and revise various financial transaction contracts—including loan agreements, securities underwriting contracts, insurance policies, and financial derivatives trading contracts—ensuring terms are clear, legally sound, and protective of clients’ legitimate interests. Additionally, we conduct detailed analysis and flag legal risks within these contracts, providing clients with actionable insights for decision-making.

Transaction compliance review

  • Comprehensive compliance reviews are conducted for financial transactions to ensure alignment with China’s financial laws, regulations, and regulatory requirements. This includes examining the qualifications of transaction parties, transaction procedures, and the sources and uses of funds—all to prevent illegal or non-compliant activities that could invalidate the transaction or lead to legal disputes.
